Scheme of Arrangement Approved by the Supreme Court of Victoria

SMEC: Further to the announcement on 8 July 2016, SMEC Holdings Limited ("SMEC") confirms that earlier today the Supreme Court of Victoria approved the scheme of arrangement between SMEC and its ordinary shareholders under which Surbana Jurong Holdings (Australia) Pty Ltd (SJ) will acquire 100% of the share capital of SMEC (Scheme).

The office copy of the order made by the Supreme Court of Victoria will be lodged with ASIC tomorrow and after this has occurred, the Scheme will be legally effective under section 411(10) of the Corporations Act. Accompanying this announcement is a copy of the Court order to be lodged with ASIC. View Court order here.

The remaining key dates for the implementation of the Scheme are as follows:

Subject to the above implementation of the Scheme, completion of the option cancellation proposal (that is, payment of consideration to option holders and cancellation of all options) will also occur on Monday, 25 July 2016.

Shareholders who have registered Australian banking details with Link Market Services will have their Scheme Consideration deposited directly into their bank accounts on 25 July 2016. Non Australian shareholders will receive payment by cheque in Australian dollars. The Company Secretary will facilitate distribution of the cheques as quickly and securely as possible.
